Creator Payment Terms & Payout Policy

Effective Date: 10 October 2026 • Legal Entity: Kansaraix (OPC) Private Limited • Version 2.1

1. Purpose and Scope

This Creator Payment Terms & Payout Policy (the "Policy") establishes the official commercial rules, revenue calculation formulas, withdrawal criteria, and disbursement schedules governing educational video creators, faculty instructors, and subject matter specialists (collectively, "Creators") on the KANSARAIX platform.

This Policy is legally incorporated into and forms an integral part of the Content Creator & Instructor Agreement. When a Creator registers an account, publishes an instructional module, or submits course materials, they agree to be bound by the terms herein.

This Policy governs commercial remuneration and payment settlement only. It does not transfer copyright ownership of original educational materials away from the author, nor does it create an employer-employee, partnership, or legal agency relationship between KANSARAIX and the Creator.

2. Key Financial Definitions

For the purposes of this Policy, the following terms have specific, binding meanings:

  • KANSARAIX ("Platform Provider"): Refers to Kansaraix (OPC) Private Limited, the corporate entity incorporated under the Companies Act, 2013 (India) that owns and operates the LMS infrastructure, checkout gateways, and certificate verification registry at Procertificate.in.
  • Partner Company: An independent corporate, educational, or training institution verified on the platform to host proprietary training programs and co-publish educational courses.
  • Content Creator ("Instructor"): The individual or professional educator authoring, recording, and publishing approved instructional videos and curriculum assets.
  • Total Eligible Course Payment: The actual gross consideration paid by an enrolled student at final checkout specifically attributable to the course, after deducting genuine checkout coupon discounts.
  • Partner Company Revenue Pool: Under Model B, the 50% balance of the eligible course payment allocated to the sponsoring Partner Company after KANSARAIX retains its 50% platform infrastructure allocation.
  • Creator Royalty: The monetary compensation earned by the Creator from student enrollments, credited to the Creator's platform wallet balance.
  • Working Days: Monday through Friday, calculated according to India Standard Time (IST, UTC+05:30), excluding statutory banking holidays in India.

3. Creator Partnership Models

The Platform provides two distinct commercial structures. The calculation basis differs fundamentally between the two models and is never blended:

3.1 Model A — Direct KANSARAIX Partnership

Model A applies when an instructor publishes courses directly under the master KANSARAIX brand without an external third-party parent company:

  • Creator Royalty: 25% of the Total Eligible Course Payment.
  • Platform Infrastructure Allocation: 75% of the Total Eligible Course Payment.

Mathematical Formula (Model A):
Creator Royalty = Total Eligible Course Payment × 25%
Platform Allocation = Total Eligible Course Payment × 75%

Key Clarification: Under Model A, KANSARAIX does not deduct a preliminary 50% commission first. The 25% royalty is computed directly on the full payment made by the student. KANSARAIX absorbs payment gateway processing fees, video streaming bandwidth, cloud hosting, and technical operations inside its 75% share.

3.2 Model B — Partner Company Collaboration

Model B applies when a Creator co-publishes a course in association with an independent registered Partner Company on the platform:

  1. Step 1 (Platform Infrastructure Allocation): KANSARAIX receives 50% of the Total Eligible Course Payment for platform software and hosting services.
  2. Step 2 (Partner Company Revenue Pool): The remaining 50% constitutes the Partner Company Revenue Pool.
  3. Step 3 (Creator Royalty): The Creator receives the commercial percentage agreed with that Partner Company (R%), calculated strictly upon the remaining 50% company pool.
  4. Step 4 (Partner Company Retained Allocation): The Partner Company retains the balance of its 50% pool after the creator royalty is deducted.

Mathematical Formulas (Model B):
KANSARAIX Allocation = Total Eligible Course Payment × 50%
Partner Company Pool = Total Eligible Course Payment × 50%
Creator Royalty = Partner Company Pool × (R / 100)
Partner Retained Balance = Partner Company Pool − Creator Royalty

Key Clarification: In Model B, the creator's percentage applies to the Partner Company's 50% pool, not to the student's total checkout total. The commercial percentage is negotiated directly between the Creator and the Partner Company.

4. Financial Comparison Examples

The table below illustrates how a student payment of ₹2,000 is distributed across Model A and various commercial rates under Model B. In all scenarios, allocations sum to 100% (₹2,000) with zero hidden deductions:

Partnership Model Total Payment Platform Cut Partner Pool Creator Royalty Partner Retains Total Sum
Example A: Direct KANSARAIX
Fixed 25% of total payment
₹2,000 ₹1,500 (75%) — ₹500 (25%) — ₹2,000
Example B: Partner Company (R = 25%)
25% of 50% company pool
₹2,000 ₹1,000 (50%) ₹1,000 ₹250 (12.5%) ₹750 ₹2,000
Example C: Partner Company (R = 40%)
40% of 50% company pool
₹2,000 ₹1,000 (50%) ₹1,000 ₹400 (20.0%) ₹600 ₹2,000
Example D: Partner Company (R = 50%)
50% of 50% company pool
₹2,000 ₹1,000 (50%) ₹1,000 ₹500 (25.0%) ₹500 ₹2,000

Comparative Note: Both Example A (Direct KANSARAIX) and Example D (Partner Company at 50%) result in an identical ₹500 payout to the Creator from a ₹2,000 enrollment. However, the commercial path is distinct: Example A represents 25% of total revenue, whereas Example D represents 50% of the Partner Company's ₹1,000 allocation.

5. Eligible Payments, Deductions & Statutory Tax Compliance

5.1 Calculation Base (Total Eligible Course Payment)

Creator royalties are computed strictly and solely on the Total Eligible Course Payment, defined as the actual gross consideration paid by the student at final checkout after deducting genuine checkout coupon discounts. If a course has a list price of ₹3,000 but the student pays ₹2,000 using an authorized coupon code, the calculation base is exactly ₹2,000.

Zero Hidden Operational Deductions: KANSARAIX does not deduct payment gateway transaction fees, server hosting expenses, video streaming bandwidth (CDN), or corporate administrative overhead prior to royalty computation. All such standard operating overheads are fully absorbed within the platform and company retained allocations.

5.2 Statutory Tax Deductions (TDS) and GST Protocol

Applicable Tax Framework:
Tax withholding is governed by the legislation applicable to the relevant credit or payment. For transactions governed by the Income-tax Act, 2025, the relevant provisions and table entries under Section 393 apply according to the payment classification. Earlier transactions remain subject to the Income-tax Act, 1961 where its transition provisions require this.

Responsible Deductor:
Under Model A, Kansaraix (OPC) Private Limited is the remitting entity and performs its applicable withholding obligations. Under Model B, the responsible deductor is determined by the documented commercial and payment arrangement. The applicable deductor, withholding amount, and net payment must be identified in the relevant settlement documentation.

PAN and Withholding:
Creators must provide valid PAN information. Where PAN requirements are not satisfied, higher withholding applies only as prescribed by the applicable law and payment category.

Tax Certificates:
Where tax is deducted, the responsible deductor deposits it against the relevant PAN and provides the prescribed TDS certificate for the applicable tax period within the legally required timelines.

GST and Invoicing:
GST registration, invoicing, and any reverse-charge obligations depend on the actual supply, applicable exemptions, thresholds, and transaction structure.

Gross and Net Amounts:
Royalty percentages remain unchanged. Net bank payment equals the amount available for settlement after applicable statutory withholding and documented transaction adjustments. No hidden operational fee is deducted before royalty calculation.

5.3 Excluded Transactions

The following transactions do not qualify for royalty calculation or balance credits:

  • Free preview video views, sample lectures, and open-access study materials.
  • Failed, abandoned, or pending payment gateway checkout attempts.
  • Platform internal test transactions and gateway reconciliation duplicate entries.
  • Orders refunded, reversed, or charged back pursuant to Section 10 of this Policy.

6. Balance Classifications & Minimum Withdrawal Threshold (₹5,000)

6.1 Six Formal Balance Classifications

To provide full transparency, creator funds are categorized across six distinct balance states within the platform financial ledger:

  1. Earned Balance (Gross): The total cumulative gross royalties credited from verified student course purchases since account registration.
  2. Pending Balance: Newly recorded royalties undergoing standard payment clearance, settlement reconciliation, or cooling review before becoming withdrawable.
  3. Available Balance: Cleared, undisputed funds currently eligible for a payout request, subject to meeting the ₹5,000 minimum withdrawal threshold.
  4. Reserved Balance: Funds locked immediately upon the submission of a payout request to prevent double-spending while administrative verification and bank clearing are underway.
  5. Paid Balance: The cumulative total of all payouts successfully disbursed and credited to the Creator's verified bank account.
  6. Adjusted Balance: Deductions or adjustments applied to reflect verified student duplicate payment refunds, statutory chargebacks, or dispute clawbacks.

6.2 Minimum Withdrawal Threshold (₹5,000)

The minimum balance required to submit a payout request is ₹5,000 of Available Balance.

  • Perpetual Accumulation: Royalties accumulate continuously in the Creator's account balance across all published eligible courses. Accumulated balances have zero expiration dates and are never forfeited or cancelled due to inactivity.
  • Eligibility Criteria: A Creator may initiate a payout request only when their cleared, Available Balance reaches or exceeds ₹5,000. The requested withdrawal amount must also be at least ₹5,000.
  • Pre-TDS Threshold Application: The ₹5,000 threshold applies to the gross withdrawable royalty requested. Applicable statutory TDS is calculated and itemized on the payout summary, with the net amount remitted to the Creator's bank account.

Illustrative Examples:
• Available Balance ₹4,999: Ineligible for withdrawal. Funds remain safely credited in the wallet and accumulate until future enrollments cross the ₹5,000 threshold.
• Available Balance ₹5,000: Eligible for a withdrawal request of exactly ₹5,000.
• Available Balance ₹12,000: Eligible for a withdrawal request of any amount between ₹5,000 and ₹12,000.

7. Settlement Schedules, Counting Methods & Processing Timelines

7.1 Standard Settlement Timeline (3 Working Days)

Under normal operational conditions, complete and valid payout requests are processed and remitted within 3 working days.

  • Timeline Counting Method: The processing window is calculated starting on the first working day following the date on which a valid payout request is submitted (Day 0 = submission date; Day 1 = next working day; Day 3 = final standard disbursement date).
  • Working Days Defined: Working days are defined as Monday through Friday, operating under India Standard Time (IST, UTC+05:30), excluding statutory national and state banking holidays in India.
  • Internal Administrative Processing: Ledger audits, KYC verifications, and finance checks are conducted within these 3 working days. Internal approval delays do not pause or restart the settlement clock.

7.2 Technical Exception Window (Maximum 7 Working Days Total)

In the event of documented technical banking downtime, Reserve Bank of India (RBI) clearing network delays, or payment gateway reconciliation holds, the total settlement window shall not exceed 7 working days total from the date of the original valid request submission.

  • Absolute Cap: The 7-working-day window represents the total allowable timeframe from initial submission (it is never 3 days plus an additional 7 days).
  • Creator Notification: Creators will receive a formal notification via registered email if an authentic technical or banking network delay affects their disbursement.
  • Automatic Finance Escalation: Any request remaining unsettled beyond 7 working days is escalated directly to executive finance management for immediate manual resolution and banking inquiry.

7.3 Remittance Channel & Bank Requirements

Disbursements are remitted directly to the Creator's verified Indian savings or current bank account via NEFT, RTGS, or IMPS. Payouts require:

  • A verified bank account in the Creator's legal name matching their KYC and PAN records.
  • A valid Indian Financial System Code (IFSC) for an active, operational bank branch.
  • Third-party digital wallets, cash remittances, cryptocurrency transfers, and international wire remittances are strictly not supported.

8. Payout Lifecycle, Status Definitions & Failure Handling

Every withdrawal request progresses through explicit operational lifecycle stages tracked within the Creator Dashboard:

  1. Submitted / Requested: The request is received by the system. The requested amount is immediately moved from Available Balance to Reserved Balance to prevent duplicate requests.
  2. Under Review: The finance and compliance desk verifies enrollment validity, PAN status, bank IFSC, and KYC records.
Reasons a request may fail validation: Beneficiary name does not match verified PAN/KYC records, bank account is inactive or frozen, invalid IFSC code, unverified tax details, or active dispute hold under Section 11.
  3. Processing (Transfer Initiated / UTR Generated): The bank transfer has been queued and dispatched through the banking partner with a Unique Transaction Reference (UTR) number. Note: UTR generation documents dispatch, not final recipient credit.
  4. Paid (Settled): Funds have been successfully credited to the Creator's bank account, confirmed by banking clearing or payment provider settlement records.
  5. Failed / Returned: If the banking network returns or rejects the transfer (e.g., due to an incorrect account number, name mismatch, or clearing technical failure):
    • The payout is never marked Paid merely because a preliminary reference or UTR existed.
    • The reserved funds are promptly released back into the Creator's Available Balance, or queued for automated retry once the Creator updates verified banking credentials.

9. Order Auditing, Ledger Integrity & Earnings Transparency

Every rupee credited to a Creator's wallet is directly linked to an individual student transaction. The platform maintains a detailed audit trail documenting:

  • Unique payment gateway transaction ID and transaction timestamp.
  • Enrolled course ID, module details, and curriculum title.
  • Sponsoring institutional entity (KANSARAIX or Partner Company).
  • Applicable partnership model (Model A or Model B) and contractual royalty percentage applied.
  • Gross royalty amount, statutory tax deductions, and net balance additions.

Data Privacy & DPDP Compliance: In compliance with the Digital Personal Data Protection Act, 2023, creator dashboards display enrollment counts, course completion progression, and student first names for mentoring purposes. Sensitive personal data, including student credit/debit card numbers, private residential addresses, and banking identifiers, is never disclosed to Creators.

10. Refunds, Banking Chargebacks & Proportionate Adjustments

10.1 Involuntary Chargebacks, Duplicate Charges & Adjustments

Voluntary change-of-mind requests are ordinarily non-refundable once digital access has been delivered, as explained in the Cancellation & Refund Policy. This restriction does not exclude applicable remedies for deficient or undelivered services, material discrepancies from advertised features, platform or partner cancellations, duplicate payments, or other cases required by law.

Where an approved refund, duplicate-payment reversal, or banking chargeback occurs, the proportionate royalty-adjustment rules below apply to the relevant transaction:

  • The Creator's previously credited royalty for that specific order will be adjusted proportionately.
  • Adjustments are calculated strictly using the original transaction's partnership model and percentage rate.
  • If the Creator has already withdrawn the balance, the adjustment is applied against future earnings. Unrelated course earnings and accumulated balances from other legitimate sales remain fully protected.

10.2 Prospective Application of Commercial Changes

Under Model B, any commercial percentage revision between a Partner Company and a Creator requires documented mutual consent and applies strictly and exclusively to future course enrollments from the agreed effective date. Platform financial architecture strictly prevents retrospective modification of historical transactions.

11. Payment Holds, Freezes, Copyright Claims & Regulatory Directives

To protect students, maintain academic integrity, and comply with Indian law, KANSARAIX applies a structured, fair protocol regarding administrative holds and freezes:

11.1 Clear Distinctions: Allegations vs. Holds vs. Established Infringement

  • Allegation or Informal Inquiry: A third-party complaint or copyright query does not automatically freeze an entire creator wallet or confiscate earnings.
  • Temporary Investigation Hold: Upon receiving a credible copyright infringement notice, verified DMCA/legal takedown request, or consumer grievance regarding a specific course, KANSARAIX may place a temporary administrative hold specifically on pending payouts and earnings derived from the disputed course while reviewing evidence. Unrelated earnings from legitimate courses are not frozen.
  • Established Infringement or Proven Fraud: If intellectual property theft, unauthorized course mirroring, or checkout fraud is established following an investigation, royalties derived from the pirated or fraudulent content are permanently forfeited to remediate affected students and cover direct damages. In such cases, the infringing course will be removed and the instructor account will be terminated. Unrelated legitimate balances are not arbitrarily confiscated.
  • Binding Legal Freezing Order: If KANSARAIX receives an official freezing order or judicial directive from a court of competent jurisdiction or authorized statutory agency (under Section 91 CrPC, PMLA, Information Technology Act, or tax authorities), the platform will freeze the designated funds as legally mandated until a formal clearance order is issued.
  • Documented Recoverable Losses: KANSARAIX reserves the right to offset proven, documented financial losses, chargeback fines, or legal expenses directly resulting from a creator's willful breach of warranties against their accrued balance.

11.2 Notice, Review, and Appeal Process

The Creator is notified through their registered email of the disputed course, the basis of the complaint, and the earnings placed on hold.

The ordinary administrative opportunity to submit ownership evidence or a response is seven calendar days from receipt of the notice. This is an internal response window, not a statutory deadline. Any extension must be communicated in writing and must not delay action required by applicable law.

The review distinguishes allegations from established infringement or fraud. Failure to respond is not, by itself, an automatic finding of theft or a reason to confiscate unrelated earnings. When the issue is resolved in the Creator’s favour, the relevant hold is released and the associated undisputed funds become available.

11.3 Copyright Procedures under Indian Law

Copyright complaints are processed in accordance with the Copyright Act, 1957, the Copyright Rules, 2013, and Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Complaints must be submitted with verifiable ownership documentation to the platform Grievance Officer.

11.4 Financial Fraud & Account Security

Deliberate fraudulent activity—including proxy accounts, stolen card checkouts, or submitting counterfeit PAN documents—will result in immediate account suspension, wallet freeze, and reporting to competent cybercrime authorities. Authentic transactions, including instructor test enrollments or self-reviews conducted transparently, are investigated fairly before any administrative determination is made.

12. Inactivity, Student Continuity & Permanent Account Closure

  • Student Continuity: If an instructor discontinues teaching or requests the unpublishing of a course, previously enrolled students retain perpetual, continuous learning access to the materials.
  • Preservation of Balances: All royalties earned prior to unpublishing remain safely credited to the Creator's account balance with zero expiration.
  • Standard Withdrawal on Termination: Creators with balances of ₹5,000 or greater can withdraw funds normally via the dashboard prior to account closure.
  • Permanent Account Closure with Balances Below ₹5,000:
A Creator closing their account with an available balance below ₹5,000 may request final reconciliation by emailing nirmalkumarthathera@gmail.com from their registered email address and providing the required identity and bank-verification information.

The finance desk will provide a written reconciliation response within seven working days of receiving a complete request. The response will identify the recorded balance, applicable statutory withholding, documented transaction adjustments, and the decision on any requested manual settlement.

The ₹5,000 threshold continues to apply to regular withdrawals. A manual settlement below that threshold requires separate documented approval and is not an automatic payout guarantee. The seven-working-day reconciliation response is not a guarantee that a sub-threshold cash payment will be made.

If no manual settlement is approved, the remaining balance stays recorded without expiry or automatic forfeiture. No separate account-closure, administrative-processing, or bank-transfer fee is charged. Applicable statutory deductions and documented transaction adjustments remain unaffected. This clause does not waive any remedy available under applicable law.

13. Frequently Asked Questions

13.1 Do all creators receive 25% of the total course price?

No. The 25% rate applies specifically to Model A (Direct KANSARAIX partnership). Under Model B (Partner Company), the Creator receives the commercial percentage agreed with that Partner Company, computed on the remaining 50% company pool.

13.2 How are royalties calculated when joining through a Partner Company?

Under Model B, KANSARAIX retains 50% as the platform allocation. The remaining 50% forms the Partner Company Revenue Pool. The Creator's agreed royalty percentage is then applied directly to that 50% pool.

13.3 If a Partner Company agrees to a 25% rate, what amount is that applied to?

It is applied to the remaining 50% company pool, not the student's total payment. For example, on a ₹2,000 enrollment, the company pool is ₹1,000, and a 25% creator rate produces ₹250 (which equals 12.5% of the total sale).

13.4 Can a Creator withdraw less than ₹5,000?

The minimum regular withdrawal is ₹5,000 before applicable statutory withholding. Smaller balances remain recorded and accumulate without expiry. Permanent account closure and any separately approved manual settlement are governed by Section 12.

13.5 What is the turnaround time for receiving payouts?

Valid payout requests are processed and remitted within 3 working days. In the event of documented technical banking delays, the overall settlement window cannot exceed 7 working days total from the submission date.

13.6 Does a technical delay mean 3 days plus an additional 7 days?

No. The 7 working days are counted from the original request date. The total timeline cannot exceed 7 working days from your initial valid submission.

13.7 Can a Partner Company reduce royalties on past sales?

Never. Any commercial percentage revisions apply strictly to future course enrollments. Retroactive reductions on historical earnings are strictly prohibited by platform architecture.

13.8 What happens to earnings if an instructor ceases teaching?

All previously accumulated royalties remain credited to the Creator's account. Balances of ₹5,000 or greater can be withdrawn normally through the dashboard.

13.9 Under what circumstances can my payment be placed on hold or frozen?

A credible copyright or course-related complaint may result in a temporary hold on earnings associated with the disputed course while the evidence is reviewed. A mere allegation does not automatically freeze the entire wallet or result in forfeiture.

Credible evidence of checkout fraud or forged identity documents may trigger a security review and lawful restrictions on affected payouts. Binding orders from a competent court or authorised authority are followed according to their required scope.

Unrelated legitimate earnings are not arbitrarily confiscated. Notice, evidence review, and the applicable response process are governed by Section 11 of this Policy.
