Content Creator & Instructor Agreement

This Content Creator and Instructor Agreement ("Agreement") is a legally binding contract entered into between KANSARAIX ("Platform", "Company", "We", "Us") and the independent educator, creator, faculty member, or entity ("Creator", "Instructor", "You") who registers, uploads, or submits instructional video content, visual notes, course materials, or code repositories to the KANSARAIX ecosystem.

By ticking the acceptance checkbox during registration or by uploading any course content to the Platform, you affirm that you have read, understood, and agreed to be unconditionally bound by all terms, warranties, and indemnities set forth in this Agreement.


1. Scope and Covered Content

This Agreement governs all educational media and digital assets published under your account, including but not limited to recorded video lectures, live stream recordings, visual study notes, PDF documents, source code files, project files, quizzes, assignments, curriculum outlines, and promotional previews (collectively referred to as "Content").

This Agreement applies whether you publish Content under the official KANSARAIX Master Brand or under an approved Partner Company registered within the KANSARAIX network.


2. Sole Authorship and 100% Originality Warranty

2.1 Warranty of Sole Ownership: You explicitly warrant, declare, and certify that you are the sole author, original creator, and exclusive intellectual property owner of all Content uploaded under your account. You possess all requisite legal titles, copyrights, and permissions necessary to publish and monetize the Content.

2.2 Absolute Prohibition on Stolen / Copied Content: You strictly guarantee that no portion of your Content has been copied, screen-recorded, downloaded without license, transcribed, scraped, or unauthorizedly taken from YouTube, Udemy, Coursera, Pluralsight, Telegram channels, private coaching institutes, or third-party educators.

2.3 Open Source and Third-Party Assets: If your lectures utilize third-party code libraries, datasets, or royalty-free media, you warrant that you hold legitimate commercial reuse licenses (such as MIT, Apache 2.0, or commercial licenses) and that all required attributions are properly provided.


3. Commercial License Granted to KANSARAIX

3.1 Distribution Rights: You hereby grant to KANSARAIX a worldwide, royalty-bearing, sublicensable, transferable license to host, transcode, stream, display, market, advertise, package, distribute, and sell access to your Content across web browsers, mobile applications, institutional packages, and affiliated partner networks.

3.2 Marketing Authorization: You authorize KANSARAIX to use your professional name, image, likeness, voice, bio, course descriptions, and excerpt trailers for promotional, social media, and advertising campaigns without requiring additional licensing fees.

3.3 Student Access Continuity: Students who enroll in or purchase your course acquire a continuous, perpetual learning access right. You may not arbitrarily revoke, delete, or obstruct access for existing enrolled students, even if you decide to close your account or discontinue teaching on the Platform.


4. Intellectual Property and Non-Infringement Covenants

You represent and guarantee that your Content does not and will not infringe, misappropriate, or violate any third party's copyright, patent, trademark, trade secret, privacy right, moral right, or any other proprietary or legal right.

You acknowledge that you bear the sole affirmative legal duty to verify the originality and clearance of every video, graphic, background track, and line of code before publishing. Lack of legal awareness or unintentional infringement shall not exempt you from liability.


5. Absolute Indemnification and 100% Creator Legal Liability

5.1 Complete Indemnity: You agree to defend, indemnify, and hold harmless KANSARAIX, its parent entity, directors, founders, officers, employees, legal representatives, and affiliates against any and all claims, lawsuits, demands, legal notices, copyright infringement notices, financial damages, regulatory fines, arbitration awards, and legal expenses (including reasonable attorney fees) arising from or relating to your Content.

5.2 Right to Freeze Funds and Offset Losses: In the event of any copyright strike, legal complaint, or infringement notice against your Content, KANSARAIX reserves the immediate right to freeze your creator wallet balance, halt pending payout requests, and offset any damages or legal costs directly against your earnings.

5.3 Individual Legal Prosecution: If intentional piracy, plagiarism, or intellectual property theft is established, you shall be personally liable for civil damages under the Copyright Act, 1957, as well as criminal proceedings under applicable statutes of the Republic of India.


6. Content Quality and Prohibited Conduct

You agree to maintain professional educational quality in all submissions. You agree NOT to upload Content that contains:

  • Defamatory, abusive, obscene, sexually explicit, or unlawful material.
  • Religious hostility, hate speech, political propaganda, or discrimination.
  • Misleading technical information, fraudulent financial schemes, or get-rich-quick claims.
  • Malicious software, trojans, backdoors, viruses, or hidden tracking scripts within downloadable source code.

KANSARAIX reserves the right to review, unpublish, or permanently delete any Content that violates these standards.


7. Financial Terms, Company-Decided Revenue Split, and Royalties

7.1 Company-Determined Royalty Cut: For all instructional video content, courses, and educational assets published under a Partner Company brand, the Partner Company (and Platform Administration) retains the sole authority to determine, set, and update the Creator's revenue royalty percentage. The Creator explicitly acknowledges that the commercial percentage is decided and controlled by the sponsoring Company.

7.2 Standard Default Revenue Share (25%): Unless specifically agreed or customized higher or lower by the Partner Company or Admin in the management portal, the platform default royalty cut for Video Creators is 25% of net course revenue, with the remaining 75% allocated to the sponsoring Partner Company which provides the brand reputation, marketing, curriculum packaging, and platform distribution. The Company or Admin may adjust this rate based on instructor experience, content quality, and commercial agreements.

7.3 Course-Specific Revenue Scope: Instructor earnings are calculated strictly and solely upon net paid enrollments of your specific published courses. You have zero entitlement to revenues generated by other instructors, other partner companies, or platform-wide subscription fees.

7.4 Net Revenue Calculation: Payouts are computed after deducting applicable payment gateway transaction fees, standard student refund deductions, and statutory government taxes.

7.5 Tax Deductions (TDS): KANSARAIX will withhold applicable taxes (such as TDS under Section 194-J or 194-C of the Indian Income Tax Act) from your earnings as required by law. You are responsible for reporting and paying all personal income taxes arising from your receipts.


8. DMCA Compliance and Copyright Strike Policy

Upon receiving a bona fide copyright notice or DMCA takedown request from a verified copyright holder, KANSARAIX will promptly disable access to the contested Content without prior notice.

You will be notified and given the opportunity to file a formal Counter-Notice if you possess legitimate legal proof of originality. Submitting fraudulent counter-notices will result in immediate lifetime blacklisting from the Platform.

Repeated copyright strikes will result in immediate termination of your instructor account and forfeiture of all pending wallet balances toward copyright claimant settlements.


9. Term and Termination

This Agreement remains effective from the date of your account registration until terminated by either party. KANSARAIX may terminate this Agreement or suspend your account immediately without notice in the event of a breach of any warranty, copyright infringement, fraudulent activity, or conduct harmful to the Platform or its students.

Sections 2, 4, 5, 9, 10, and 11 of this Agreement shall survive any termination or expiration of this Agreement.


10. Governing Law, Arbitration, and Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the Laws of the Republic of India, including the Indian Copyright Act, 1957, the Indian Contract Act, 1872, and the Information Technology Act, 2000.

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts situated in the jurisdiction of KANSARAIX corporate headquarters.


11. Electronic Signatures and Binding Acceptance

By ticking the "Agreement" checkbox on the creator registration page and completing your registration, you explicitly consent to execute this Agreement in electronic format pursuant to the Information Technology Act, 2000.

You acknowledge that your electronic check-in constitutes a valid, legally enforceable signature equivalent to a hand-written signature, confirming your full agreement to every provision, warranty, and indemnity contained herein.
